1. Definitions
In these Terms and Conditions, the following terms carry the meanings set out below:
- "We / Us / Our" refers to Thara Mongkol, a consulting firm registered in Thailand and operating from 27 Thappraya Road, Nongprue, Pattaya 20150.
- "Client / You" refers to any individual, company, or organisation that engages our services or accesses our website.
- "Service" refers to any consulting engagement provided by Thara Mongkol, including company formation support, financial planning facilitation, and due diligence coordination.
- "Agreement" refers to the combination of these Terms, the relevant scope document, and any applicable non-disclosure agreement.
- "Deliverables" refers to documents, models, reports, checklists, or other outputs produced as part of an engagement.
2. Acceptance of Terms
By submitting an enquiry form, entering into an engagement, or using this website, you agree to be bound by these Terms and Conditions. If you do not accept these Terms, please do not use our website or engage our services.
Our services are available to businesses and individuals aged 18 years or older with the legal capacity to enter into binding agreements under Thai law.
3. Service Description
Thara Mongkol provides business consulting services across three core areas: company formation and registration support in Thailand, financial planning and budgeting facilitation, and comprehensive due diligence coordination for mergers, acquisitions, and significant investment decisions.
Services are provided from our Pattaya office and are available to clients throughout Thailand and to foreign investors establishing Thai operations. Services are delivered in English and Thai.
Geographic or regulatory restrictions may limit the scope of certain services. We will advise you of any such limitations during the scoping process.
4. Engagement Process
No consulting work commences until a written scope document has been agreed by both parties. The scope document defines: the services to be delivered, the fee, the timeline, and the expected deliverables. Execution of the scope document, along with payment of any agreed deposit, constitutes commencement of the engagement.
Enquiry submissions via our website do not constitute a binding agreement and do not obligate either party.
5. User Responsibilities
Clients agree to:
- Provide accurate and complete information as required for the delivery of services
- Respond to consultant requests within agreed timelines to avoid delays
- Use deliverables lawfully and in accordance with their intended purpose
- Not reproduce, distribute, or commercialise Thara Mongkol deliverables without prior written consent
- Maintain the confidentiality of any non-public information shared during the engagement process
Providing false or misleading information that affects the quality or legality of the consulting work may result in immediate termination of the engagement without refund.
6. Intellectual Property
Thara Mongkol retains intellectual property rights in all methodologies, frameworks, templates, and internal processes used in the delivery of services.
Deliverables produced specifically for a client engagement are licensed to that client for their own business use on a non-exclusive, non-transferable basis. The client does not acquire ownership of underlying templates or frameworks.
Nothing in these Terms transfers any trademark, trade name, or branding rights from Thara Mongkol to the client.
7. Payment Terms
Fees are quoted in Thai Baht (฿) and set out in the relevant scope document. Standard payment terms are as follows:
- Formation engagements: 50% deposit at scope sign-off; balance on delivery of compliance calendar
- Financial planning engagements: 40% at scope sign-off; 30% at week four; 30% on handover
- Due diligence engagements: payment schedule agreed individually based on engagement duration
Invoices are issued in Thai Baht. Payment is accepted by bank transfer to our Thai bank account. Late payments may attract interest at the rate provided under Thai commercial law.
Refunds are not available once substantive engagement work has commenced, except in cases of material failure on our part to deliver the agreed scope.
8. Confidentiality
We treat all client information as confidential by default. Non-disclosure agreements are signed as part of standard onboarding for all engagements. Client information is not shared outside the engagement team without explicit written consent.
Clients are similarly bound to keep Thara Mongkol methodologies, pricing, and internal processes confidential where these are disclosed in the course of an engagement.
9. Disclaimers
Thara Mongkol provides consulting advice based on information provided by the client and the professional judgment of the engagement team. Advice and deliverables are not a substitute for independent legal, accounting, or regulatory counsel, and should not be relied upon as such.
We do not guarantee specific outcomes, regulatory approvals, transaction completions, or financial results from any engagement. Consulting advice reflects professional judgment at the time of delivery; circumstances may change after delivery.
Our website is provided "as is" without warranties of any kind regarding accuracy, completeness, or fitness for purpose.
10. Limitation of Liability
To the maximum extent permitted by Thai law, Thara Mongkol's total liability to a client arising from any engagement shall not exceed the total fees paid by that client for the relevant engagement.
We shall not be liable for indirect, consequential, or incidental damages, including but not limited to loss of profit, loss of business, or loss of anticipated savings, even where we have been advised of the possibility of such losses.
These limitations do not apply to liability arising from fraud, wilful misconduct, or gross negligence.
11. Indemnification
You agree to indemnify Thara Mongkol against any claims, losses, or damages arising from your breach of these Terms, your misuse of deliverables, or any inaccurate or misleading information you have provided to us in the course of an engagement.
12. Termination
Either party may terminate an engagement by written notice if the other party has materially breached the scope document and failed to remedy the breach within 14 days of written notice.
We reserve the right to suspend or terminate an engagement immediately if a client provides materially false information or engages in conduct that would compromise the legal or professional standing of the engagement.
On termination, payment is due for all work completed to the date of termination. Any deliverables produced to that point will be provided to the client.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from or relating to these Terms or an engagement shall first be addressed through good-faith discussion between the parties.
If informal resolution is not achievable, disputes shall be subject to the jurisdiction of the courts of Chonburi Province, Thailand, unless otherwise agreed in writing.
14. General Provisions
- Entire Agreement: These Terms, together with the relevant scope document and NDA, constitute the entire agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it subsequently.
- Assignment: You may not assign your rights or obligations under any engagement without our prior written consent.
- Notices: Formal notices should be sent by email to [email protected] or in writing to our Pattaya address.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be reflected in the "Last Updated" date at the top of this page. Your continued use of our website or engagement of our services after changes are posted constitutes acceptance of the revised Terms.
